Terms of Service

Effective Date: January 21, 2026

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "You") and Outly SAS ("Company," "Outly," "We," "Us," or "Our"), a simplified joint-stock company registered in France, governing your access to and use of the Outly website, software, application, and related services (collectively, the "Services").

By clicking "I Agree," registering for an account, or using the Services, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

2. Third-Party Platform Disclaimer

2.1. Independence

Outly is an independent software provider. We are not affiliated, associated, authorized, endorsed by, or in any way officially connected with LinkedIn Corporation, Microsoft Corporation, or any of their subsidiaries or affiliates. The official LinkedIn website can be found at www.linkedin.com.

2.2. Risk of Use

You acknowledge and agree that:

  • The use of automation software may violate the Terms of Service of third-party platforms (including LinkedIn);
  • Third-party platforms may update their technical safeguards or Terms of Service at any time without notice;
  • Use of Outly is at your sole risk. While we employ advanced safety algorithms (e.g., randomized delays, cloud-based IP rotation, daily limits) to mimic human behavior, we cannot guarantee that your account will not be flagged, restricted, or suspended.

2.3. No Liability for Account Actions

To the fullest extent permitted by law, Outly SAS shall not be liable for any account suspension, restriction, "shadow-ban," blocking, or loss of data imposed by LinkedIn or any other third-party platform arising from or related to your use of the Services. You are solely responsible for monitoring your account health and adhering to third-party limits.

3. Account Registration and Security

3.1. Eligibility

You must be at least 18 years old to use the Services. By agreeing to these Terms, you represent and warrant that you are of legal age.

3.2. Credentials

You are responsible for maintaining the confidentiality of your login credentials (email, password, and session cookies). You agree to notify us immediately of any unauthorized access to or use of your account. Outly SAS is not liable for any loss or damage arising from your failure to protect your account information.

4. License and Acceptable Use

4.1. Limited License

Subject to your compliance with these Terms, Outly SAS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

4.2. Prohibited Activities

You agree not to:

  • Use the Services to transmit spam, harassment, or unsolicited bulk messaging in violation of applicable laws (e.g., CAN-SPAM, GDPR).
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services.
  • Use the Services to scrape or collect data in violation of third-party rights.
  • Resell, sublicense, or otherwise make the Services available to third parties without our prior written consent.

5. Subscription, Billing, and Cancellation

5.1. Subscription Plans

The Services are offered on a subscription basis (Monthly or Annual). Fees are billed in advance.

5.2. Automatic Renewal

Your subscription will automatically renew at the end of each billing cycle unless you cancel it at least twenty-four (24) hours before the renewal date.

5.3. Refunds

  • General: Payments are non-refundable. We do not provide credits or refunds for partial months of service, upgrades/downgrades, or unused time.
  • Platform Changes: We do not offer refunds if a third-party platform (e.g., LinkedIn) changes its API, interface, or policies in a way that limits the functionality of Outly.

6. Intellectual Property Rights

All rights, title, and interest in and to the Services, including but not limited to text, graphics, logos, code, and software, are the exclusive property of Outly SAS. Your use of the Services does not grant you ownership of any content, code, or data.

7. Indemnification

You agree to defend, indemnify, and hold harmless Outly SAS, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your access to or use of the Services;
  • Your violation of these Terms;
  • Your violation of any third-party right, including any intellectual property or privacy right;
  • Your violation of third-party platform rules (e.g., LinkedIn User Agreement).

8. Limitation of Liability

8.1. Exclusion of Damages

IN NO EVENT SHALL OUTLY SAS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

8.2. Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF OUTLY SAS FOR ALL CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF FIFTY EUROS (€50.00) OR THE AMOUNT YOU PAID THE COMPANY FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. General Provisions

  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.
  • Jurisdiction: Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Paris, France.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
  • Entire Agreement: These Terms constitute the entire agreement between you and Outly SAS regarding the Services and supersede all prior agreements.
  • Force Majeure: We are not responsible for delays or failures to perform resulting from causes beyond our reasonable control (e.g., acts of God, war, strikes, internet service provider failures).
